PRELIOS: FILED 2012 ANNUAL REPORT AND ADDITIONAL DOCUMENTATION

Milan, 16 April 2013 – Prelios S.p.A. announces that on today’s date, with reference to the documentation advertised on 29 March 2013 (items on the agenda of the ordinary Shareholders’ Meeting), it has made available the following documents at the Company’s offices in Milan, Viale Piero e Alberto Pirelli n. 27 and at Borsa Italiana S.p.A. and has advertised them on the Company website at www.prelios.com:

• The residual documents relating to the additional items on the agenda of the ordinary Shareholders’ meeting and namely: (i) the Annual Report – including the draft annual financial statements, the consolidated financial statements, the directors’ report and the certification provided for by art. 154-bis, par. 5, of Legislative Decree n. 58 of 28 February 1998 and following amendments and supplements – together with the Statutory Auditors’ Report and the legal auditor’s report, as well as the Annual Report on Corporate Governance and Ownership Structure as well as (ii) the Remuneration Policy Report;
• The additional documents regarding all items on the agenda of the extraordinary shareholders’ meeting and namely: (i) the Directors’ Report on capital increase - pursuant to art. 2441, paragraphs 1 and 5, of the Italian Civil Code - subject to prior reduction of the number of ordinary shares by reverse stock split and to prior share capital decrease for losses pursuant to art. 2446 of the Italian Civil Code, and on the power of the Board of Directors to issue equity linked bonds destined for conversion - pursuant to art. 2420-ter, par. 3, of the Italian Civil Code - together with the consequent proposals of amendments to the company by-laws, with the Statutory Auditors’ Observations pursuant to art. 2446 of the Italian Civil Code and with the opinion of the legal auditor – issued pursuant to art. 158 of Legislative Decree n.58 of 24 February 1998 and following amendments and supplements –on the fairness of the share issue price as per art. 2441 of the Italian Civil Code; (ii) the Directors’ Report on additional proposals of amendments to the company by-laws.

The documentation regarding the financial statements of the subsidiaries and affiliated companies shall be made available to the public at the Company’s offices on 23 April 2013.
